Will Nvidia consolidate a neocloud or data center SPV, or record at least $2bn in cumulative related impairments and credit losses, by fiscal year ending January 2028?
The risks and rewards of neocloud buildouts effectively sit with Nvidia, so accounting consolidation or a multi-billion-dollar loss recognition will reveal the retained exposure.

Retained risk forces consolidation or a multi-billion writedown
Nvidia seeds legally independent neoclouds that depend on it for supply, backstops and offtake, meeting the technical form of non-consolidation while retaining substantive economic risk. When neocloud credit deteriorates, the exposure returns to Nvidia as consolidation, guarantee accruals or impairment, producing a consolidation event or at least $2bn in cumulative related impairments and credit losses by fiscal year ending January 2028.

Nvidia avoids consolidation and major impairments
Nvidia's neocloud arrangements are structured so independent equity and risk-sharing keep the vehicles genuinely off Nvidia's books, without the company stepping in to backstop troubled counterparties. If neocloud credit weakens, losses stay with the SPV's own lenders and equity holders rather than flowing back to Nvidia as consolidation or impairment. This side would be confirmed if Nvidia reports no consolidation event and under $2bn cumulative impairments and credit losses through fiscal year ending January 2028.
